Effective as of October 4, 2026. Applies to all agency interactions, store purchases, and digital agreements.

1. Overview & Acceptance of Terms

Welcome to Cesar Business Lab. By accessing our website (cesarbusinesslab.com), contracting any of our professional agency services, or purchasing digital assets from our online store, you expressly agree to be bound by these Terms and Conditions of Service & Sale.

These Terms apply to all visitors, clients, collaborating agencies, and digital store purchasers. If you do not agree with any part of these Terms, you must immediately discontinue use of this website, refrain from purchasing our digital goods, and abstain from contracting our services.

2. Creative & Engineering Agency Services

Cesar Business Lab operates as a senior creative execution partner for marketing agencies, scaling startups, and brands worldwide. Our specialist disciplines include: technical & semantic SEO, headless Next.js web architectures, commercial video editing & DaVinci color grading, motion graphics VFX, and custom Generative AI production pipelines.

2.1. Statements of Work, Sprints & Deliverables

Agency services are performed according to custom proposals, agile work sprints, or formal Statements of Work (SOW). Each agreement explicitly defines deliverables, milestone schedules, estimated turnaround times, and compensation structures.

•Any material modifications or additions beyond the agreed scope (scope creep) require written approval and an adjusted budget estimate.
•Production timelines depend upon prompt feedback, asset provision, and technical credentials supplied by the client.
•Mutual Non-Disclosure Agreements (NDAs) are executed and rigorously honored prior to commencement of any confidential engagement.

2.2. Intellectual Property Rights for Custom Client Work

Upon receipt of full payment for agreed milestones, all intellectual property rights for approved custom client deliverables (source code, client video edits, and custom brand graphics) transfer entirely to the client.

Cesar Business Lab retains the standard right to showcase approved public deliverables in our commercial portfolio, website showreels, and promotional case studies, unless an explicit white-label or NDA clause prohibits such disclosure.

3. Digital Products Store & Licensing

Through our digital store (cesarbusinesslab.com/shop), we offer intangible, downloadable assets including: 4K Master Cinematic LUT packages (.cube), agency operating systems (Notion/Code), Next.js web starters, motion design assets, and GenAI production workflows.

All pricing is listed in US Dollars (USD). We reserve the right to revise pricing at any time without prior notice; however, confirmed orders are processed at the rate displayed at the time of checkout.

3.1. Immediate Digital Delivery

Delivery of digital products is strictly electronic, instantaneous, and automated. Upon successful verification of payment, the buyer receives immediate on-screen access to secure download links and an automated email receipt containing permanent license credentials.

3.2. Secure Payment Gateways & Banking Encryption

Payments are processed through certified tier-1 banking infrastructures: Stripe (PCI-DSS Level 1 compliant) and PayPal v2 API with 256-bit SSL/TLS end-to-end encryption.

Cesar Business Lab never accesses, processes, or stores complete credit card numbers or banking secrets on our servers. All sensitive financial data is tokenized directly by the authorized gateway.

4. Digital Goods Refund & Cancellation Policy

Due to the intangible, irrevocable, and immediately consumable nature of downloadable digital assets (LUTs, templates, code archives), ALL DIGITAL PRODUCT SALES ARE STRICTLY FINAL AND NON-REFUNDABLE once access or download links have been delivered.

By clicking 'Pay Now' or completing the checkout transaction, the buyer expressly acknowledges and agrees to waive any statutory right of withdrawal or return, as digital assets cannot be physically returned or un-downloaded.

4.1. Technical Exceptions & Defect Resolution

We provide full resolution under the following demonstrable conditions:

1. Corrupt or Missing File: If an asset archive (.zip) exhibits intrinsic corruption that prevents extraction, and our engineering support cannot provide a verified replacement within 72 business hours.

2. System Duplicate Billing: If a network timeout or payment gateway glitch generates dual billing for the exact same order and email address, the duplicate transaction will be immediately refunded.

5. Permitted Site Usage & Prohibited Actions

You agree to utilize this website exclusively for lawful commercial purposes. You are strictly prohibited from:

• Employing automated bots, scrapers, crawlers, or extraction algorithms to harvest data, text, or visual assets without written authorization.

• Attempting to probe, scan, or breach server infrastructure, firewall protections, or authentication endpoints.

• Submitting fraudulent data, malware, or unsolicited commercial spam through contact channels.

• Reselling, redistributing, leasing, or uploading our proprietary digital products to torrent repositories, public cloud drives, or warez forums.

6. Limitation of Liability & Warranty Disclaimer

The website, portfolio showcases, and downloadable assets are provided on an 'as is' and 'as available' basis, without express or implied warranties of merchantability or fitness for an unintended purpose.

Cesar Business Lab does not warrant uninterrupted or error-free site operation resulting from upstream cloud providers, third-party internet outages, or force majeure events beyond reasonable control.

To the maximum extent permitted by applicable law, Cesar Business Lab shall not be liable for indirect, incidental, punitive, or consequential damages arising from the use or inability to use our website, services, or downloaded files.

7. Governing Law & Dispute Resolution

These Terms are governed by the principles of international commercial law and the applicable jurisdictions governing our commercial operations.

Any controversies or claims arising from these Terms or business transactions shall first be submitted to good-faith mutual consultation and amicable mediation prior to initiating formal arbitration or legal proceedings.
